Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Pally Technologies, Inc., a Delaware corporation (“Pally,” “we,” “us,” or “our”). By texting Pally, connecting an account, or otherwise accessing or using the Pally service (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.

Please also read our Privacy Policy, which explains how we handle your data and is incorporated into these Terms by reference.

1. Overview

Pally is a personal assistant you reach over iMessage. You text it like a person, and it can answer questions, remember things, follow up, research, reach people, and take actions across the apps you connect.

Pally is a cloud service. To do these things, it processes your messages and the data from accounts you connect, including with AI, as described in our Privacy Policy. These Terms govern your access to and use of the Service, any subscription or billing relationship, and your and our rights and responsibilities.

2. Eligibility

To use Pally, you must:

  • Be at least 18 years old
  • Have the legal capacity to enter into these Terms
  • Use the Service in compliance with all applicable laws

We may refuse, suspend, or withdraw the Service for anyone for any lawful reason.

3. Your Account

Your Pally account is associated with the phone number you use to text Pally and the details you share during onboarding. You agree to:

  • Provide accurate information
  • Keep your device and account access secure
  • Not share your account with others
  • Notify us promptly of any unauthorized use

You are responsible for all activity that takes place through your account.

4. License to Use Pally

Subject to these Terms, Pally grants you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Service for your lawful personal, professional, or commercial purposes.

Restrictions

You may not:

  • Reverse engineer, or attempt to derive the source code, models, or underlying components of the Service
  • Sell, sublicense, lease, lend, resell, or redistribute access to the Service
  • Use the Service to build or train a competing product or service
  • Use scraping, bots, or other automated means to access the Service, except through features we provide
  • Circumvent authentication, usage, rate, or subscription controls
  • Use the Service in a multi-user, organizational, or enterprise environment without our written permission
  • Interfere with, disrupt, or overload our systems, APIs, or infrastructure

We reserve all rights not expressly granted.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal, harmful, deceptive, harassing, or abusive activity
  • Send spam or unsolicited, unlawful, or unauthorized communications to others
  • Connect or access any account, inbox, or data you are not authorized to use
  • Use the Service to infringe intellectual property, violate privacy, or unlawfully surveil or impersonate anyone
  • Upload or transmit malware, or attempt to bypass or interfere with security
  • Attempt to manipulate the Service, including through instructions hidden in third-party content, to act against another person or against these Terms

We may suspend or terminate your access for any violation of these Terms.

6. Actions Pally Takes on Your Behalf

At your request, Pally can take actions such as sending messages, drafting and sending emails, creating calendar events, and preparing bookings, orders, or reservations, including by using the third-party accounts you connect.

Before taking an action that affects someone else or is hard to reverse — such as messaging another person, making a purchase, inviting people to an event, or deleting data — Pally shows you the action and proceeds only after you confirm it. If you choose to enable optional automations or auto-send settings, those may act without a separate confirmation each time; you are responsible for enabling them and for the actions they take.

You are responsible for the instructions you give Pally and for the actions you approve, including their content and consequences. Review the details — recipients, amounts, dates, and text — before approving. Pally is a tool to assist you and does not guarantee any particular result; third-party availability, prices, and outcomes can change.

7. AI Outputs and No Professional Advice

Pally relies on AI, which can be inaccurate, incomplete, or out of date. Do not treat its responses as a guaranteed source of truth, and verify anything important before you rely on it.

Pally is not a lawyer, doctor, financial adviser, or emergency service, and its responses are not professional advice. For medical, legal, financial, or other significant decisions, consult a qualified professional, and in an emergency contact your local emergency services. You are responsible for how you use Pally's outputs.

8. Connected Services

Pally can connect to third-party services — such as WhatsApp, Google, Microsoft, Slack, Notion, Linear, Granola, and others — at your direction. Your use of those services remains subject to their own terms and privacy policies.

You represent that you have the right to connect each account and to authorize Pally to access and act within it. You can disconnect any service at any time, which revokes Pally's access. We are not responsible for third-party services, their availability, or their content, and you connect them at your own risk.

9. Data Processing & Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. It explains what we process and why, including that your data is encrypted in transit and at rest and that we use zero data retention for AI processing.

You are responsible for ensuring that your use of any data you bring into or manage through the Service complies with applicable laws and the rights of others.

10. Subscriptions & Billing

Pally is free while it is in early testing, and we do not currently collect payment information.

If we introduce paid plans, the applicable fees, billing cycle, and payment processor will be presented to you before you are charged. Where paid plans apply: subscriptions renew automatically unless cancelled; we may change pricing with notice, and continued use after a change takes effect constitutes acceptance; you may cancel at any time and keep access through the end of the paid period; and refunds are granted at our discretion.

11. Changes to the Service

We may modify, add, or remove features, or suspend or discontinue the Service, at any time. We are not obligated to maintain backward compatibility, and we will provide reasonable notice of material changes where practical.

12. Intellectual Property

The Service, including its design, software, models, trademarks, logos, interfaces, and content, and all related intellectual property rights, belongs exclusively to Pally Technologies, Inc. You may not use our intellectual property without our written permission.

Content you send to or receive from Pally as part of using the Service remains yours. You grant us the limited rights needed to process and deliver that content in order to operate and provide the Service to you.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY REGARDING ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, OR PERFORMANCE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT AI OUTPUTS WILL BE ACCURATE, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALLY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, BUSINESS, GOODWILL, DATA, OR USE.

OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT ALLOWED BY LAW.

15. Indemnification

You agree to indemnify, defend, and hold harmless Pally and its officers, directors, employees, contractors, and agents from any claims, damages, liabilities, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, the instructions you give Pally and the actions you approve, the accounts or data you connect, or your violation of these Terms, any law, or any third-party right.

16. Termination

We may suspend or terminate your access to the Service at our discretion, including if you violate these Terms, if we discontinue the Service, or if we reasonably believe your use poses a risk to you, to us, or to others. You may stop using Pally at any time.

On termination, your right to use the Service ends, and we will handle your data as described in the Privacy Policy, including deleting it at your request. Provisions that by their nature should survive termination — such as intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

17. Mandatory Arbitration & Class Action Waiver

THIS SECTION AFFECTS YOUR LEGAL RIGHTS. PLEASE READ IT CAREFULLY.

Agreement to arbitrate

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service will be resolved exclusively by binding arbitration, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You and Pally waive the right to a trial by jury.

Class action waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND PALLY AGREE THAT ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not preside over any class or representative proceeding.

Exceptions

Either party may instead seek relief in court for intellectual property infringement, unpaid fees, or claims within the jurisdiction of a small claims court.

Opt-out

You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@pally.com with the subject line “Arbitration Opt-Out.”

18. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Venue for any permitted court action lies exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

19. Changes to These Terms

We may update these Terms from time to time. If a change materially affects your rights, we will notify you by text, email, or in-app. Continuing to use the Service after changes take effect constitutes acceptance.
